By placing an order directly with our company or on our website, you agree to the following Terms of Sale. Please read these terms thoroughly. 1. Copyrights, Trademarks, and Ownership of Artwork

All materials on NoelStudios.com, gallery.noelstudios.com, and any associated sub-domains, including images, text, logos, graphics, and design elements, are the property of Noel Studios, Inc. or the respective artists represented by Noel Studios, Inc. You may use the content on these websites solely for shopping, placing an order, or conducting other tasks directly related to shopping on these sites. Unauthorized use of the materials, including but not limited to copying, reproducing, republishing, modifying, uploading, transmitting, or distributing without prior written consent from Noel Studios, Inc. or the respective artist, is prohibited and may result in criminal or civil penalties.

The “Rip Noel Studios, Inc.” logo and all custom graphics, icons, and logos found on NoelStudios.com are trademarks of Noel Studios, Inc.

2. Sales of Represented Artwork and Media

Noel Studios, Inc. represents and sells artwork and media from various artists in addition to its own creations. All artwork and media sold through NoelStudios.com, gallery.noelstudios.com, and associated sub-domains are sold “as is.”

• No Commercial Usage Rights: The purchase of any artwork or media does not grant the buyer any commercial usage rights unless specifically licensed. The buyer is only granted the right to own the physical item (if applicable) and to display it for personal, non-commercial use. Commercial usage, reproduction, distribution, or any other exploitation is strictly prohibited without explicit written permission and proper licensing from Noel Studios, Inc. or the respective artist.

3. Disclaimer and Limitation of Liability

All products sold by Noel Studios, Inc., including those by represented artists, are provided on an “as-is” basis. Due to the custom nature of our products and the prevalence of illegal reproduction, products sold on NoelStudios.com and gallery.noelstudios.com are non-refundable, except for replacement items in the case of damage during shipping or misidentified images, subject to a 14-day return policy. Noel Studios, Inc. disclaims all express or implied warranties, including warranties of merchantability and fitness for a particular purpose. The maximum liability to Noel Studios, Inc. arising from any product sold shall not exceed the price of the product ordered. Noel Studios, Inc. shall not be liable for special, indirect, consequential, or punitive damages related to products sold.

4. Typographical and Photographical Errors

Noel Studios, Inc. strives to ensure accuracy in pricing, product descriptions, and content. However, we do not guarantee that the information on NoelStudios.com and gallery.noelstudios.com is accurate, complete, or current. In the event of a pricing error or inaccurate information, Noel Studios, Inc. reserves the right to honor the displayed price or cancel orders placed at the incorrect price at our discretion.

5. Order Acceptance Policy

Submission of an order and receipt of an order confirmation, automated or otherwise, does not signify our acceptance of the order. Noel Studios, Inc. reserves the right to cancel any order at our sole discretion, regardless of order status or receipt of confirmation. Additional information may be required before accepting or processing an order. All legal actions shall be governed by the laws of the State of Tennessee, USA, and adjudicated in Blount County, Tennessee.

6. Return Policy

All products and services sold by Noel Studios, Inc., including those from represented artists, are non-refundable due to their custom nature, except for replacement items in cases of shipping damage or misidentified images, subject to a 14-day return period. Conditions for returns include:

• Products must be returned complete and undamaged.

• All returns must be shipped freight prepaid.

• Shipping and return shipping fees are non-refundable.

• Claims for missing products must be reported within 10 days of the shipping date.

Unauthorized returns are subject to a fee of 20% plus applicable shipping and handling fees.

7. Sales Policy Agreement

By placing an order on NoelStudios.com or gallery.noelstudios.com, you agree to the total sale amount and authorize Noel Studios, Inc. to collect payment via the method specified. Noel Studios, Inc. reserves the right to update these terms at any time.

8. Privacy and Security Policies

Noel Studios, Inc. is committed to protecting your privacy. We do not rent, trade, loan, or sell your personal information to third parties. Personal information is collected to process your order and enhance your shopping experience. Credit card transactions are processed by a reputable third-party banking institution obligated to keep your information private. Third parties performing vital functions on our behalf (e.g., shipping) also have access to necessary personal information under strict confidentiality obligations.

When placing an order, you provide your name, email address, credit card information, address, and phone number. This information is used solely for processing your order. You may be notified via email about changes to our website or special offers; you can opt out by following the directions in each email.

11. Voucher/Coupon Policy

All vouchers or coupons purchased or issued on NoelStudios.com, gallery.noelstudios.com, or by any other source are non-refundable and have set expiration dates. Vouchers or coupons cannot be used after their expiration dates and are valid only as specified in the individual terms provided at the time of issuance.

12. License and Usage Rights

All images and content on NoelStudios.com and its sub-domains are the property of Noel Studios, Inc. or the respective artists represented by Noel Studios, Inc. No images, prints, or downloaded files may be used for commercial purposes without written permission. The purchase of products does not grant any commercial usage rights. Noel Studios, Inc. reserves the right to use any client images for marketing purposes.

13. Fulfillment Services Terms and Conditions

• Initial Setup: All media production jobs require specific setup procedures. Clients are responsible for providing printer-ready digital files. Templates are available upon request.

• Storage: Inventory is stored until an order is placed or returned to the client. Storage charges are $35 per month per linear foot.

• Order Fulfillment and Shipping: Fulfillment and shipping charges are quoted on a job-by-job basis.

• Miscellaneous Charges: Additional fees may apply and will be detailed in your estimate or invoice.
